I, the undersigned, being the duly qualified and acting recording officer of the
City of Plymouth, Minnesota (the "City"), hereby certify that the attached resolution is a
true copy of Resolution No. 2002-488, entitled: "RESOLUTION AUTHORIZING THE
MAYOR TO APPROVE THE ISSUANCE OF AN $1,999,500 EDUCATIONAL
FACILITIES REVENUE NOTE (WEST LUTHERAN HIGH SCHOOL PROJECT),
SERIES 2002, BY THE HOUSING AND REDEVELOPMENT AUTHORITY IN AND
FOR THE CITY OF PLYMOUTH, MINNESOTA" (the "Resolution"), on file in the
original records of the City in my legal custody; that the Resolution was duly adopted by
the City Council of the City at a meeting on October 22, 2002, and that the meeting was
duly held by the City Council and was attended throughout by a quorum; and that the
Resolution has not as of the date hereof been amended or repealed.
I fi rther certify that upon vote being taken on the Resolution at said meeting, the
following Councilmembers voted in favor thereof: All members voted in favor.

RESOLUTION NO. 2002-488
RESOLUTION AUTHORIZING THE MAYOR TO
APPROVE THE ISSUANCE OF AN $1,999,500
EDUCATIONAL FACILITIES REVENUE NOTE
(WEST LUTHERAN HIGH SCHOOL PROJECT),
SERIES 2002, BY THE HOUSING AND
REDEVELOPMENT AUTHORITY IN AND FOR
THE CITY OF PLYMOUTH, MINNESOTA
BE IT RESOLVED by the City Council of the City of Plymouth, Minnesota (the "City"),
as follows:
Section 1. Recitals.
1.01. Following a public hearing, duly noticed and held on October 10, 2002, in
accordance with Minnesota Statutes, Sections 469.152 through 469.165, as amended (the "Act')
and Section 147(f) of the Internal Revenue Code, as amended (the "Code"), the Board of
Commissioners of the Housing and Redevelopment Authority in and for the City of Plymouth,
Minnesota (the "Authority) authorized and approved the issuance of Educational Facilities
Revenue Bonds (West Lutheran Project), Series 2002 (the "Bonds"), in the aggregate principal
amount of $1,999,500 to finance a portion or all of a project under the Act, on behalf of West
Lutheran High School, a Minnesota nonprofit corporation and private high school (the
"Corporation"), consisting of the refinancing of a portion of certain taxable mortgage loans
payable to Anchor Bank the proceeds of which were used, in 1996, to acquire land located at
3350 Harbor Lane North and constrict a building thereon for use as an educational facility and
administrative space and, in 1998, to finance an addition to the existing building located at the
same address in the City of Plymouth, Minnesota (the refinancing and the existing facilities of
the Corporation are referred to herein as the "Project').
1.02. Section 147(f)(2)(B) of the Code requires that the issuance of the Bonds be
approved by a governmental unit which requirement is satisfied if the "applicable elected
representative" of the Authority or the next higher governmental authority, if the Authority has
no elected officials, approves the issuance of the Bonds after a duly noticed public hearing.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Plymouth,
Minnesota, as follows.
Section 2. Authorization to the Mayor. The City Council authorizes the Mayor of the
City of Plymouth, as the applicable elected representative under Section 147(f)(2)(B)(i) of the
Code, to approve the issuance of the Bonds to finance the Project. The Mayor is fiirther
authorized to approve the form of and execute such certificates or documents evidencing such
approval of the issuance of the Bonds as may be required.
Section 3. Absence of Officers. In the absence or disability of the Mayor, any of the
documents authorized by this resolution to be approved and executed by the Mayor may be so
approved and executed by the acting Mayor.
