HomeMy WebLinkAboutCity Council Resolution 2012-059CERTIFICATE AS TO RESOLUTION AND ADOPTING VOTE I, the undersigned, being the duly qualified and acting City Clerk of the City of Plymouth, Minnesota (the "City"), hereby certify that the attached resolution is a true copy of Resolution No. 2012-059, entitled: "RESOLUTION AUTHORIZING ISSUANCE AND SALE OF $9,975,000 GENERAL OBLIGATION REFUNDING BONDS, SERIES 2012A" (the "Resolution"), on file in the original records of the City in my legal custody; that the Resolution was duly adopted by the City Council of the City at a meeting on February 14, 2012, and that the meeting was duly held by the City Council and was attended throughout by a quorum; and that the Resolution has not as of the date hereof been amended or repealed. I fi rther certify that upon vote being taken on the Resolution at said meeting, the following Councilmembers voted in favor thereof: Mayor Slavik, Councilmembers Wosje, Stein, Black, Bildsoe, and Willis and the following voted against the same: None and the following abstained from voting thereon or were absent: Councilmember Johnson WITNESS my hand officially this 14th day of February, 2012. City Clerk RESOLUTION NO. 2012-059 RESOLUTION AUTHORIZING ISSUANCE AND SALE OF $9,975,000 GENERAL OBLIGATION REFUNDING BONDS, SERIES 2012A BE IT RESOLVED by the City Council of the City of Plymouth, Minnesota (the City), as follows: SECTION 1. PURPOSE. It is hereby determined to be in the best interests of the City to issue its General Obligation Refunding Bonds, Series 2012A, in the principal amount of $9,975,000 (the Bonds), pursuant to Minnesota Statutes, Chapter 475, to refiind (i) on February 1, 2015, the 2016 through 2025 maturities of the City's General Obligation Capital Improvement Bonds, Series 2004A and (ii) on February 1, 2014, the 2015 through 2019 maturities of the City's General Obligation Water Revenue Bonds, Series 2004B. The Bonds would be crossover refiunding bonds issued under Minnesota Statutes, Section 475.67, subdivision 13. SECTION 2. SALE OF BONDS. Ehlers & Associates, Inc. is hereby authorized, pursuant to Minnesota Statutes, Section 475.60, Subdivision 2, paragraph (9), to solicit proposals for the Bonds on behalf of the City on a negotiated basis. SECTION 3. OFFICIAL STATEMENT. In connection with the sale of the Bonds, the officers or employees of the City are hereby authorized to cooperate with Ehlers & Associates, Inc. and participate in the preparation of an official statement for the Bonds and to execute and deliver it on behalf of the City upon its completion. SECTION 4. SALE MEETING. This Council shall meet at the time and place shown in the Official Statement for the purpose of considering sealed proposals for the purchase of the Bonds and of taking such action thereon as may be in the best interests of the City.
