CITY OF' PLYMOUTH RESOLUTION NO. 92-408
AUTHORIZING CONDEMNATION PROCEEDINGS FOR
TRACT D, REGISTERED LAND SURVEY NO. 1173
WHEREAS, the Sinclair gas station at 13700 State
Highway 55, which is legally described as Tract D, Registered
Land Survey No. 1173, together with that certain access easement
recorded as Document 1408813 and 1408814 (the "Easement"), are
within Development District. No. 7, which was created by the City
for the purpose of improving roadways within the City and
promoting the prompt and orderly development of property within
the Development District; and
WHEREAS, the Sinclair gas Station's access t0 Highway 55 is
undesirable, potentially hazardous, and does not conform to
current State and City requirements; and
WHEREAS, the Sinclair gas station is also surrounded by the
Northwest Business Campus Seventh Addition, a multiple planned
unit development which is presently owned by The Prudential Life
Insurance Company; and
WHEREAS, Lifespan, Inc., the parent corporation of Abbott
Northwestern Hospital, has publicly announced its intention to
construct a medical clinic, ambulatory care center, medical
office building, and related improvements in the multiple
planned unit development; and
WHEREAS, the City's acquisition of the Sinclair gas station
and sale thereof to Prudential or Lifespan, for inclusion in
Lifespan's proposed health care development, will be consistent
with the purposes of Development District No. 7 and will qualify
as a public purpose. under Minnesota Statutes, Section 469.124;
and
WHEREAS, Minnesota Statutes, Section 117.042, authorizes
the City to acquire the parcel on a timely basis pursuant to the
"quick -take" pr^e�edure authorized by said statute; and
WHEPFAS, the City Council finds it necessary, proper, and
expedient, and in the interests of the public health,
convenience, and general welfare of the citizens of the City of
Plymouth, for the City to acquire the Sinclair gas station; and
WHEREAS, the Development Program for Development District
No. 7 requires the adoption of an agreement between the City and
a private developer prior to the City's acquisition of any
property for reuse by the private developer in Development
District NO. 7;

NOW, THEREFORE, BE IT HEREBY RESOLVED BY THE CITY COUNCIL,
THE CITY OF PLYMOUTH, MINNESOTA:
1. That the City Attorney is hereby authorized to
commence and prosecute to completion quick -take condemnation
proceedings of the Sinclair gas station at 13700 State
Highway 55, which is legally described as Tract D, Registered
Land Survey No. 1173, and the Easement.
2. That prior to the commencement of the condemnation
proceedings, the City shall enter into a private development
agreement with Prudential and/or Lifespan, requiring one of them
or their affiliates to purchase the parcel from the City for not
less than the City's cost of acquisition (plus related fees and
expenses), and requiring one of them or their affiliates to
construct improvements on the parcel consistent with the
Development Program for Development District No. 7, and
requiring one of them or their affiliates to indemnify the City
against any potential claims or liabilities, according to terms
and conditions deemed acc,ptable to the City Attorney.
