Pursuant to due call and notice thereof, a regular meeting of the City Council of
the City of Plymouth, Minnesota, was held on the 18th day of June 1984.
The following members were present: Mayor Davenpor , ouncilmemb en, Reiss,

Councilmember Neils introduced the following Resolution and moved its
adoption:
RESOLUTION NO. 84-375
A RESOLUTION ESTABLISHING A PORT AUTHORITY
IN THE CITY OF PLYMOUTH
BE IT RESOLVED By the City Council of the City of Plymouth, Minnesota, as follows:
1. Findings: Authority
.1.01 The City of Plymouth (the "City") is authorized by Laws 1984, Chapter 397
to establish a Port Authority having the same powers as a port authority established
pursuant to Minnesota Statutes, Section 458.09 (collectively, the "Act").
1.02 The City Council has investigated the facts concerning the need for a port
authority in the City and hereby finds and determines that it is in the best
Interests of the sound and orderly development of the City that such authority be
established pursuant to the Act.
2. Port Authority Established.
2.01 The Port Authority (the "Authority") of the City of Plymouth is estab-
lished.
2.02 The Authority shall consist of three commissioners appointed by the City
Council for terms of six years or until their successors are appointed and qualify;
except that of the commissioners first appointed one shall serve for a term of two
years, one shall serve for a term of four years and one shall serve for a term of six
years. Vacancies in the office of commissioner shall be filled by the City Council
for the unexpired portion of the term. The term of commissioner, except those
Initially appointed, shall commence on the January 1 following appointment and quali-
fication. The terms of commissioners initially appointed shall be extended from the
date of appointment until December 31, 1984.
2.03 The appointment of initial commissioners shall be made no later than
December 31, 1984.

• 3. City Manager.
3.01 The City Manager is authorized and directed to take all `steps necessary in
facilitating the establishment and the operation of the Port Authority; and to that
end to designate persons currently employed by the City to aid in the establishment
and operation of the Port Authority.
4. Directions to Authority.
4.01 The Authority shall forthwith after the appointment and qualification of its
Initial members conduct an organizational meeting at which it shall:
(a) select the officers required by the Act, who may be temporary
officers;
(b) adopt by-laws and rules of procedure not inconsistent with the Act
and this Resolution; and
(c) perform such other duties and appoint such other officers and
employees as it deems necessary and as are required under the Act.
4.02 As soon as convenient after its organizational meeting the Authority shall
submit a report to the City Council creating a summary of its activities including
the text of proposed by-laws and procedures for the Council's review and comment.
The Authoirty may not adopt permanent by-laws and rules of procedure until the City
Council has submitted its comments to the Authority, or until 90 days have elapsed
from the date of the Council's receipt of the Authority's report.
4.03 All redevelopment districts or tax increment districts must be approved by
the City Council.
4.04 All bonds or evidence of indebtedness, whether issued under the provisions
of Minnesota Statutes Chapter 458, Chapter 475, Chapter 474, or any other statute
authorizing the issuance of bonds or evidence of indebtedness, shall require the
consent of the City Council of the City of Plymouth prior to issuance by the Port
Authority, whether or not such issuance qualifies as a City obligation under the
provisions of Minnesota Statutes, Section 458.09 et. seq.
5. City -Authority Cooperation
5.01 It is the intent of the City Council in enacting this Resolution that the
City and the Authority cooperate to the fullest extent in the exercise of their
respective powers to Insure to the sojind and orderly development of the City. To
that end the City Council pledges its resources to the assistance of the Authority in
the carrying out of the Authority's activities. It is the intent of the Council to
insure that the respective plans and programs of the City and Authority are coordin-
ated so that the City's overall development goals can be achieved. The City Council
requires the Authority to adopt and implement the policy of cooperation expressed in
this Section.

• 6. Miscellaneous

6.01 This resolution is effective immediately.
6.02 The City Clerk is authorized and directed to transmit a certified copy of
this Resolution to the Secretary of State of the State of Minnesota, the Secretary of
the State Senate, and the Chief Clerk of the State House of Representatives.
The motion for adoption of the foregoing Resolution was duly seconded by
Councilmember Crain , and upon vote being taken thereon, t;
following voted in favor thereof: Mayor avenport, Councilmembers Moen, Neils,
_Schneider and Crain
