R ESOLUTION N O. 2021-237
R ESOLUTION A CCEPTING D ONATION OF P ERSONAL P ROPERTY FROM THE P LYMOUTH
H ISTORICAL S OCIETY
WHEREAS, Plymouth Historical Society is in the process of disbanding and wishes for the City of
Plymouth (“City”) to assume control over and operation of the Plymouth Historical Society; and
WHEREAS, Plymouth Historical Society has certain personal property as outlined on attached Exhibit
A, which shall be incorporated herein, funds in the amount of $4,000, and any and all personal property located
at Town Hall and Carriage House located at 3605 Fernbrook Lane, Plymouth, Minnesota (“Premises”) that it
wishes to donate to the City; and
WHEREAS, Minnesota Statutes § 465.03 requires that all gifts and donations of real or personal
property be accepted only with the adoption of a resolution of the governing body by two-thirds of its
members; and
WHEREAS, the City agrees to maintain and utilize the donation of personal property and funds from the
Plymouth Historical Society for the benefit of its citizens and in accordance with the wishes of the donor; and
NOW, THEREFORE, BE IT HEREBY RESOLVED BY THE CITY COUNCIL OF THE CITY OF PLYMOUTH,
MINNESOTA:
1. The City Council hereby accepts the donation of personal property as outlined on Exhibit A, funds
in the amount of $4,000, and any and all personal property located at the Premises from the
Plymouth Historical Society.
2. The Mayor and City Manager are authorized and directed to execute all documents, and take all
appropriate measures acquire the donation of personal property and funds from the Plymouth
Historical Society.
ADOPTED by the City Council on this 24th day of August, 2021.

EXHIBIT A
Nonexclusive List of Personal Property Donated to City by Plymouth Historical Society
• Museum/collection contents and supporting items used to display and interpret the
collection as housed at the Plymouth Old Town Hall and Carriage House;
• An inventory of the historical assets to be transferred other than those located in or a part
of the carriage house;
• Accession records, both digital and physical that may exist at time of transfer;
• Intellectual property including the name “Plymouth Historical Society,” its logo and
variations thereof; its website and content; its digital libraries and physical business
records; its newsletters and research;
• Affiliations and memberships as may be contracted;
• Corporate funds, to include bank account balances and available certificates of deposit as
may remain at the time of transfer;
• Insurance records and statements of closures of account at the time of transfer;
• All right, title and interest to the name “Plymouth Historical Society”.
