RESOLUTION No. 2009-235
A RESOLUTION APPROVING ASSIGNMENT, ASSUMPTION,
AND AMENDMENT AGREEMENT BETWEEN WELLS FARGO
BROKERAGE SERVICES LLC AND WACHOVIA BANK NATIONAL
ASSOCIATION FOR THE NU AIRE, INC. BOND PROJECT
WHEREAS, in 1992 the City of Plymouth issued Industrial Development Revenue Bonds on behalf
of Nu Aire, Inc. to assist with the acquisition of equipment and building modifications; and
WHEREAS, in December 2008, Wells Fargo and Wachovia merged their two companies; and
WHEREAS, due to this merger, the companies have consolidated their business groups whereby an
amended agreement for the bond issue is in order
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COUNCIL OF THE
CITY OF PLYMOUTH, MINNESOTA the Assignment, Assumption and Amendment Agreement
between Wells Fargo Brokerage Services, LLC and Wachovia Bank National Association for the Nu
Aire, Inc. bond project is hereby approved.
APPROVED THIS 13TH DAY OF OCTOBER, 2009.
